Composition and Goals of the Board of Directors
In our company, independent directors represent 57% of the board members, while 29% of the directors have employee status. Presently, one independent directors have a tenure of less than 3 years, and one has a tenure exceeding 9 years. To promote gender equality, our objective is to maintain at least one female director on the board. As a result, three female directors were appointed in 2024.

Our future aim is to ensure that the consecutive tenure of independent directors does not surpass 9 years during each appointment, while retaining at least one female director on the board.

Our company currently comprises 7 directors, including 3 independent directors. These directors are elected by shareholders through voting and form the board of directors. Board members possess diverse professional backgrounds and skills, such as business judgment, accounting, financial analysis, management, crisis handling, industry knowledge, international market perspective, leadership, and decision-making abilities.
Independent Director Election and Training
The company's independent director election adheres to a candidate nomination system. Independent directors possess experience in business, legal, financial, accounting, or company operations essential for the business. They provide substantial benefits to the company by enhancing the operational efficiency of the board, implementing supervision, and protecting shareholders' interests.
To help directors continuously acquire new knowledge and maintain their core values and professional abilities, the company arranges at least 6 hours of training each year during their tenure. Training topics include financial, accounting, management, legal, internal control, and other corporate governance-related subjects.
Board Performance Evaluation
The company has established a board performance evaluation method and approach. Performance evaluations occur annually, with the results reported to the board of directors and utilized as a reference for individual director compensation and nomination for reappointment.
